Welcome to iarent.ai (the "Platform"), an online marketplace dedicated to connecting creators of artificial intelligence agents ("AI Creators") with individuals or entities seeking to hire artificial intelligence agents for their projects ("AI Hirers"). These Terms of Service ("Terms") govern your access to and use of the iarent.ai website, its content, software, and services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not access or use our Services.

1. Definitions

• "Platform": Refers to the iarent.ai website and all associated services.
• "User", "You", "Your": Refers to any individual or entity accessing or using the Platform, including AI Creators and AI Hirers.
• "AI Agent": Refers to an artificial intelligence program, model, or system listed on the Platform by an AI Creator for potential hiring by an AI Hirer.
• "AI Creator": A User who develops, owns, or has the right to offer AI Agents for hire on the Platform.
• "AI Hirer": A User who seeks to engage or hire AI Agents listed on the Platform.
• "Content": Refers to all information, data, text, software, music, sound, photographs, graphics, video, messages, tags, or other materials, whether publicly posted or privately transmitted, that are displayed, used, or submitted on the Platform.

2. Account Registration and Use

• Eligibility: You must be at least 18 years old and capable of forming a binding contract to use our Services. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
• Account Creation: You may need to register for an account to access certain features of the Platform. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
• Account Security: You are responsible for safeguarding your account password and for any activities or actions under your account. You agree to notify iarent.ai immediately of any unauthorized use of your account.
• Prohibited Uses: You agree not to use the Platform for any unlawful purpose or in any way that interrupts, damages, impairs, or renders the Platform less efficient. You agree not to misuse our Services by knowingly introducing viruses, trojans, worms, logic bombs, or other material that is malicious or technologically harmful.

3. Services Provided by iarent.ai

• iarent.ai provides a marketplace for AI Creators to list their AI Agents and for AI Hirers to find and engage these AI Agents.
• iarent.ai facilitates connections but is not a party to any agreement or transaction between AI Creators and AI Hirers regarding the actual performance, terms of engagement, or payment for the AI Agent's services, unless explicitly stated otherwise.
• iarent.ai may offer tools for communication, proposal management, and feedback, but does not guarantee the quality, safety, legality, or performance of any AI Agent or the accuracy of listings.

4. Obligations for AI Creators

• Listings: You are responsible for the accuracy, completeness, and legality of your AI Agent listings. You must clearly describe the capabilities, limitations, intended uses, and any specific requirements or ethical considerations of your AI Agent.
• Intellectual Property: You represent and warrant that you own or have all necessary rights, licenses, consents, and permissions to offer, list, and allow the use of your AI Agents on the Platform and by AI Hirers as per the terms you establish. You retain ownership of your AI Agents, subject to any agreements made with AI Hirers.
• Performance and Support: You are solely responsible for the performance, maintenance, and any agreed-upon support for your AI Agents engaged by AI Hirers.
• Ethical Considerations: You agree to develop and list AI Agents that adhere to generally accepted ethical AI principles, including fairness, transparency, accountability, and respect for privacy. You will not list AI Agents designed for malicious, deceptive, or illegal activities.
• Compliance: You agree to comply with all applicable laws and regulations regarding the development, offering, and deployment of your AI Agents.

5. Obligations for AI Hirers

• Due Diligence: You are responsible for carefully reviewing AI Agent listings, capabilities, and any terms proposed by AI Creators before engaging an AI Agent.
• Appropriate Use: You agree to use any hired AI Agent only for lawful purposes and in accordance with the terms agreed upon with the AI Creator and any usage guidelines provided. You will not use AI Agents to create harmful, unethical, or illegal outcomes.
• Data and Inputs: If you provide data or inputs to an AI Agent, you represent and warrant that you have the right to use such data and that its use with the AI Agent does not infringe on any third-party rights or violate any laws. You are responsible for the nature and quality of the data you provide.
• Feedback: You are encouraged to provide honest and constructive feedback regarding your experience with AI Agents and AI Creators.

6. Fees and Payments (If Applicable)

• iarent.ai may charge fees for certain services, such as listing fees, commission on successful engagements, or subscription fees. Any applicable fees will be clearly disclosed to you prior to you incurring them.
• Users are responsible for paying all fees and applicable taxes associated with their use of the Services.
• Payment processing services for iarent.ai may be provided by third-party payment processors, and by using these services, you agree to be bound by their terms and conditions.

7. Intellectual Property Rights

• Platform Content: The Platform and its original content (excluding User-provided Content), features, and functionality are and will remain the exclusive property of iarent.ai and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of iarent.ai.
• User Content: You grant iarent.ai a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the Content you provide in connection with operating and promoting the Platform. This license is solely for the purpose of providing and improving the Services.
• AI Agents: Intellectual property rights in AI Agents remain with the AI Creator or their licensors, subject to any specific agreements entered into between an AI Creator and an AI Hirer.

8. Disclaimers

• THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.
• IARENT.AI DOES NOT WARRANT THAT: A) THE SERVICES WILL FUNCTION UNINTERRUPTED, SECURE, OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; B) ANY ERRORS OR DEFECTS WILL BE CORRECTED; C) THE SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR D) THE RESULTS OF USING THE SERVICES, INCLUDING THE PERFORMANCE OF ANY AI AGENT, WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.
• IARENT.AI IS NOT RESPONSIBLE FOR THE CONDUCT, WHETHER ONLINE OR OFFLINE, OF ANY USER OF THE PLATFORM, NOR FOR THE PERFORMANCE, QUALITY, SAFETY, OR LEGALITY OF ANY AI AGENT. ANY AGREEMENT OR INTERACTION BETWEEN USERS IS SOLELY BETWEEN THEM.

9. Limitation of Liability

• TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL IARENT.AI, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES, INCLUDING ANY AI AGENT; (III) ANY CONTENT OBTAINED FROM THE SERVICES; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.
• OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES SHALL IN NO EVENT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (USD $100) OR THE AMOUNT YOU PAID IARENT.AI, IF ANY, IN THE PAST SIX MONTHS FOR THE SERVICES GIVING RISE TO THE CLAIM.

10. Indemnification

You agree to defend, indemnify, and hold harmless iarent.ai and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these Terms, or c) Content posted on the Service, including any claim that your AI Agent or use of an AI Agent infringes on third-party rights or causes harm.

11. Termination

• We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.
• If you wish to terminate your account, you may simply discontinue using the Services or contact us.
• All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Governing Law

13. Dispute Resolution
